1. Agreement to Terms

By texting JOIN to +1 (240) 724-8788, accessing our website at bhuquagric.com, or otherwise using the BhuquAgric service (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Squareone International LLC, trading as BhuquAgric ("we", "us", "our").

If you do not agree to these Terms, do not use the Service. You may opt out at any time by replying STOP to any SMS message from BhuquAgric.

2. Description of Service

BhuquAgric is an agricultural marketplace that connects produce suppliers with buyers across the Southern African Development Community (SADC) region. The Service operates primarily through SMS and WhatsApp messaging and includes:

• Supplier registration: Agricultural suppliers register via SMS to list their produce on the marketplace.
• Produce listings: Suppliers submit listing details (crop type, quantity, quality grade, pricing) via SMS.
• Quality review: Listings are reviewed by cooperative managers or BhuquAgric staff before being published to buyers.
• Buyer notifications: Subscribed buyers receive alerts via WhatsApp when produce matching their preferences is listed.
• Match facilitation: BhuquAgric facilitates introductions between suppliers and buyers. The actual trade, delivery, and payment occur directly between the parties.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. The Service is intended for agricultural businesses, cooperatives, individual farmers, and produce buyers operating in or with connections to the SADC region.

4. Registration and Account

To use the Service, you must register by texting JOIN to +1 (240) 724-8788 and completing the SMS registration prompts. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your registration information up to date.
• Not register on behalf of another person without their consent.
• Not create multiple accounts for deceptive purposes.

Your phone number serves as your account identifier. You are responsible for all activity that occurs through messages sent from your phone number.

6. Produce Listings and Accuracy

If you are a supplier using the Service to list produce, you agree to:

• Provide accurate and truthful information about your produce, including crop type, quantity, quality grade, and pricing.
• Only list produce that you have available or will have available by the stated date.
• Not post fraudulent, misleading, or deceptive listings.
• Not list non-agricultural items, services, or content unrelated to agricultural produce.

BhuquAgric reserves the right to reject, remove, or modify any listing that violates these Terms or that we determine to be inaccurate, fraudulent, or otherwise inappropriate. Listings are subject to quality review before being published to buyers.

7. Buyer Subscriptions

Buyers may subscribe to receive produce alerts via WhatsApp. We may offer both free and paid subscription tiers. If you subscribe to a paid tier, you agree to the pricing and payment terms presented at the time of subscription. We reserve the right to modify subscription pricing with reasonable notice.

8. BhuquAgric's Role

BhuquAgric is a marketplace facilitator, not a party to transactions. We connect suppliers with buyers but do not buy, sell, store, transport, or handle any agricultural produce. We do not guarantee:

• The quality, quantity, or condition of any produce listed on the platform.
• The reliability, creditworthiness, or conduct of any supplier or buyer.
• That any transaction will be completed successfully.
• The accuracy of pricing information provided by suppliers.

All transactions, including negotiation, payment, delivery, and dispute resolution, occur directly between the supplier and buyer. BhuquAgric is not responsible for any disputes arising from transactions facilitated through the Service.

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Post fraudulent or misleading listings.
• Harass, abuse, or threaten other users of the Service.
• Attempt to manipulate the marketplace, including creating fake listings or fake buyer interest.
• Use the Service to spam, phish, or distribute malware.
• Scrape, harvest, or collect information about other users without their consent.
• Interfere with the operation of the Service.

We reserve the right to suspend or terminate your access to the Service for violations of these Terms.

10. Intellectual Property

The BhuquAgric name, logo, website design, SMS flow architecture, and all related intellectual property are owned by Squareone International LLC. You may not copy, modify, distribute, or create derivative works of our intellectual property without our prior written consent.

By submitting a produce listing through the Service, you grant BhuquAgric a non-exclusive, royalty-free licence to display, distribute, and use your listing information for the purpose of operating and promoting the marketplace.

11. Platform Fees

BhuquAgric may charge fees for certain services, including buyer subscriptions and transaction facilitation fees. Any applicable fees will be clearly communicated before you incur them. We reserve the right to introduce, modify, or discontinue fees with reasonable notice.

12. Limitation of Liability

To the maximum extent permitted by law, BhuquAgric and Squareone International LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Losses arising from transactions between suppliers and buyers.
• Produce spoilage, quality issues, or delivery failures.
• Errors or interruptions in SMS or WhatsApp message delivery.
• Unauthorised access to your account.
• Loss of data or business opportunity.

Our total liability for any claim arising from the Service shall not exceed the amount you have paid to BhuquAgric in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

13. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

14. Indemnification

You agree to indemnify and hold harmless Squareone International LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

15. Termination

You may terminate your use of the Service at any time by replying STOP to any BhuquAgric message. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your listings will be removed from the marketplace.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via SMS or by posting the updated Terms on our website. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
